This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and NovexERP ("Company") governing use of the NovexERP software platform and any connected third-party integrations ("Service").
Subject to the terms of this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for internal business operations.
You agree to use the Service only for its intended purpose of managing business operations including inventory, orders, manufacturing, and related functions. You agree not to:
The Service may connect to third-party platforms (e.g., QuickBooks Online, Shopify, marketplace providers). Use of these integrations is subject to the respective third party's terms of service. The Company is not responsible for the availability, accuracy, or conduct of third-party services.
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described therein.
The Service, including all software, designs, text, and other content, is the property of the Company and is protected by applicable intellectual property laws. This Agreement does not transfer any ownership rights to you.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.
The Company may suspend or terminate your access to the Service at any time, with or without cause. Upon termination, your right to use the Service ceases immediately.
The Company reserves the right to modify this Agreement at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised terms.
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
